Organization & Structure
of the Commission

BOARD OF DIRECTORS OR GOVERNING BODY BETWEEN GENERAL ASSEMBLIES:
The first Commissioners (Directors) shall be the representatives invited by the Interim Commission to the founding meeting in Guatemala on March 6 to 8, 2007.

Representatives or their replacements who were also named to the Interim Commission during the 1st Indigenous Workshop on ICT’s in Mexico and were not able to be present shall also be invited to be first Commissioners, if they agree to ratify the decisions made by the first Commissioners in Guatemala.

The first Commissioners shall serve as the Board of Directors until the First General Assembly to be convened before December 31, 2008. 

Additional Commissioners (Directors) shall be appointed in order to fill the vacancies of nation-states (countries) of the Americas and the Caribbean that are not represented in the Interim Commission, following a consultation process with Indigenous peoples/organizations within those states.  

A process shall be developed to elect/appoint one Commissioner for every nation-state in the Americas and the Caribbean at the first General Assembly. The Commissioners shall meet twice a year.

POWERS OF THE GENERAL ASSEMBLY
• The General Assembly shall be the highest authority for all; it shall provide a voice and vote for all voting-members present
• The General Assembly shall meet every two years
• The General Assembly shall review, approve, modify bylaws and regulations
• The General Assembly shall analyze projects, define policies, guidelines

ROLE OF COMMISSIONERS (DIRECTORS)
• Implement instructions by the General Assembly
• Elect the Executive Committee
• May replace any member of the Executive Committee due to justifiable cause
• Establish policies between General Assemblies, as long as these are consistent with the policies and bylaws
• Approve budget and projects
• Become the main point of contact within their respective countries

THE EXECUTIVE COMMITTEE
Commissioners shall elect an Executive Committee from among themselves;
• President
• 4 Vice Presidents – North America, Central America, South America, Caribbean
• Secretary-Treasurer

ROLE AND RESPONSIBILITIES OF THE EXECUTIVE COMMITTEE
 • Implement decisions made by the General Assembly and decisions made by Commissioners
• Recommend projects, budgets to Commissioners
• Take authority over the general decision-making process
• Approve administrative policies and procedures
• Assist in the selection of senior managers; appoint the Executive Director upon recommendation of the President
• Recommend the appointment of operating personnel

President
1. General Director of management activities on a daily basis
2. Convenes meetings of the Executive Committee and of the Commission based on the Commissioners’ decisions  
3. Main spokesperson for the Commission
4. Commission’s legal representative
5. Authority to sign

Vice Presidents
1. They represent their areas before the Executive Committee
2. They are a point of contact for Commissioners in their  regions
3. They represent their Commissioners’ points of view
4. They represent the President in activities or events he/she cannot attend to which he/she delegates
5. To be appointed signing authorities

Secretary-Treasurer
1. To guarantee the appropriate recording of information in  the minutes of meetings
2. To be an appointed signing authority
3. To be responsible for finances (recommend budgets, audits, presents financial statements to the Executive Committee,
Commissioners and General Assembly)
4. To establish financial policies  (financial management, logistics)

 

 

What are ICT’s?
“ICT is a term used to define “information and communications technologies”. These include all forms of these technologies including radio, phone/fax, internet, voice-over-internet protocol (VOIP), tele-centres, video and audio conferencing, CD’s and DVD’s. These are simply tools used to communicate.”
